Our client, a publicly listed company, seeks to recruit a Deputy Company Secretary/In-house Counsel to join their established in-house legal team on a part-time basis (3 days minimum).
Reporting to the General Counsel & Company Secretary, the role will provide high quality legal support across this fast-paced and challenging business and will be responsible for PLC compliance matters and the continued evolution of the corporate governance framework.
Your responsibilities will include assisting with the corporate statutory and regulatory administration for the Group and its subsidiaries. Support merger, acquisition and divestment activity as required. Review commercial contracts and provide feedback on terms and conditions as well as analysing legal/commercial risk within the contracts and propose mitigation. The role will also respond to legal queries from all parts of the business giving clear and practical advice. The remit will also include the management of Board projects along with the General Counsel and wider team.
A qualified solicitor with a company/commercial background the ideal candidate will have UK listed plc / AIM experience coupled with a proven ability of fostering and maintaining high level relationships with senior stakeholders. The role requires the utmost discretion, ownership, communication and project management skills. Some Company Secretarial experience is desirable.
